How to Terminate a Chinese Distributor

www.ChinaLawSolutions.com

A China distribution relationship can provide rapid marketaccess without a local subsidiary, but it can also concentrate control over customers, registrations, inventory, and brand assets in one intermediary. Careful diligence and contract design are essential.

Prepare before giving notice

Review term, renewal, cause, cure, notice, exclusivity, inventory, customer, trademark, and dispute provisions. Identify what the distributor controls, including registrations, online accounts, customer data,
and product inventory.

Document the basis

Collect sales reports, missed targets, unpaid invoices, compliance failures, and prior notices. Even when termination without cause is permitted, a clear factual record helps manage negotiations.

Protect the transition

Plan a replacement channel, communications to customers, handling of warranties, and lawful use of customer information. Avoid disrupting regulated products or after-sales obligations.

Address inventory and brand assets

Specify repurchase, sell-off, destruction, or return ofinventory and marketing materials. Confirm the distributor will cease use of trademarks, Chinese names, websites, and social-media accounts.

Use settlement where practical

A termination agreement can resolve unpaid amounts, inventory, releases, confidentiality, and transition assistance more efficiently than a prolonged dispute.

Practical next step

Before appointing, expanding, or terminating a distributor, confirm the legal entity, trademark position, inventory, customer-control issues, registrations, and post-termination obligations. These facts should drive the agreement and transition plan.
